Droid 3 Problems!!

I just got a new battery replacement & did a data factory reset & I called to activate the phone but it says it is unable to proceed.. I need help.

You shouldn't need to activate the phone again after a factory reset. Though, if for some reason you do, if it is not working, you may want to call Verizon's tech support line and talk to someone who can walk through the steps and explain what may be the issue.
